Terms and Conditions

These Terms govern your use of the DeskFit app. Please read them before you use the App, particularly Section 4 (subscriptions) and Section 15 (governing law).

1. Acceptance of terms

These Terms and Conditions ("Terms") form an agreement between you and DeskFit Limited ("DeskFit", "we", "us", "our") and govern your access to and use of the DeskFit mobile application (the "App"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you don't agree, don't use the App.

Our Privacy Policy explains how we collect and use information and is incorporated into these Terms by reference.

2. The service

DeskFit schedules short movement breaks (such as squats or push-ups) during your chosen work hours and confirms each one using your device's camera and on-device pose detection before the break can be dismissed. The App also tracks streaks, weekly challenges, medals, and activity stats, and can sync this information across your devices when you're signed in.

We may add, change, or remove features over time, and some features may be offered only as part of a paid subscription (see Section 4).

3. Eligibility & accounts

You must be at least 16 years old to create a DeskFit account. If you are under the age required by your country to consent to online services on your own behalf, you may only use the App with the involvement of a parent or guardian.

An account is optional for basic use but required to sync your data across devices. You agree to provide accurate information when creating an account, to keep your password confidential, and to notify us promptly at support@deskfit.ai of any unauthorized use of your account. You're responsible for activity that happens under your account.

4. Subscriptions & payments

DeskFit offers core scheduling and mission features free of charge. We may also offer an optional paid subscription ("DeskFit Premium") unlocking additional features. Where offered, the following applies:

• Purchase & pricing: subscriptions are purchased through the Apple App Store or Google Play (as applicable) at the price and billing interval (e.g. monthly or annual) shown at the point of purchase, inclusive of any taxes charged by the store.
• Free trials: if a free trial is offered, it will automatically convert to a paid subscription at the end of the trial period unless you cancel before it ends.
• Auto-renewal: subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date. Your payment method will be charged for renewal through your App Store or Google Play account.
• Managing & cancelling: subscriptions are managed through your Apple ID or Google Play account settings, not through DeskFit directly. Cancelling stops future renewals but does not refund the current billing period.
• Refunds: refund requests are handled by Apple or Google under their respective refund policies, and we cannot directly issue refunds for purchases made through their platforms.
• Price changes: we may change subscription pricing from time to time. Where required, we (or the App Store/Google Play) will notify you in advance, and changes will apply from your next renewal.

5. License to use the App

Subject to these Terms, DeskFit grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a device you own or control, for your own personal, non-commercial use. This license does not give you any ownership interest in the App.

You may not: copy, modify, or create derivative works of the App; reverse-engineer, decompile, or disassemble the App except as permitted by law; rent, lease, lend, sell, redistribute, or sublicense the App; or remove any proprietary notices.

6. Acceptable use

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to DeskFit's systems, other users' accounts, or data;
• Interfere with or disrupt the App's operation, or circumvent its security or camera-verification features (for example, using pre-recorded footage or automated tools to falsify a mission);
• Use the App to harass, harm, or impersonate others;
• Use any automated system to access the App at scale, other than through interfaces we provide.

We may suspend or terminate access for anyone who violates this section.

7. Camera access & your content

The App's Mission feature uses your device's camera to verify exercises through on-device pose detection. As explained in our Privacy Policy, camera frames are processed locally on your device and are never recorded, stored, or transmitted by DeskFit.

Data you generate through use of the App — such as your schedule, break history, streaks, and medals ("Activity Data") — remains yours. You grant DeskFit a limited license to store, process, and display your Activity Data solely to operate and improve the App for you, including syncing it across your devices.

8. Intellectual property

The App, including its design, branding, graphics, text, and underlying software (excluding your Activity Data), is owned by DeskFit Limited or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any of that ownership to you.

9. Third-party services

The App relies on third-party services to operate, including Supabase (account authentication and data storage) and, where relevant, the Apple App Store or Google Play (distribution and payment processing). Your use of those services is also subject to their own terms and privacy policies. We are not responsible for the availability or performance of third-party services outside our control.

10. Disclaimer of warranties

The App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. We do not warrant that the App will be uninterrupted, error-free, or completely secure, or that rep-counting and pose detection will always be accurate. Nothing in these Terms excludes any guarantee, condition, or warranty that cannot lawfully be excluded, including under the New Zealand Consumer Guarantees Act 1993 where it applies to you.

11. Limitation of liability

To the maximum extent permitted by law, DeskFit Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of, or inability to use, the App. Where liability cannot be fully excluded, DeskFit's total liability for any claim relating to the App is limited to the amount you paid us, if any, in the 12 months before the claim arose.

12. Indemnification

You agree to indemnify and hold DeskFit Limited harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the App, except to the extent caused by our own fault.

13. Termination

You may stop using the App and delete your account at any time by contacting support@deskfit.ai. We may suspend or terminate your access to the App if you breach these Terms, or discontinue the App or any feature at our discretion, with notice where reasonably possible. Sections that by their nature should survive termination (including Sections 8, 10, 11, and 12) will continue to apply.

14. Changes

We may update the App and these Terms from time to time. If we make material changes to these Terms, we will update the "Effective date" above and, where appropriate, notify you in the App. Continuing to use DeskFit after changes take effect means you accept the updated Terms.

15. Governing law & disputes

These Terms are governed by the laws of New Zealand, without regard to conflict-of-law principles. You and DeskFit agree to submit to the exclusive jurisdiction of the courts of New Zealand for any dispute arising from these Terms or the App, except where applicable consumer protection law in your country of residence gives you the right to bring a claim in your local courts.

16. Apple App Store additional terms

If you downloaded the App from the Apple App Store, the following additional terms apply and take precedence over any conflicting term above in the event of a conflict specific to Apple:

1. This agreement is between you and DeskFit Limited only, not with Apple Inc., and Apple is not responsible for the App or its content.
2. Your license to use the App is limited to use on an Apple-branded product that you own or control, as permitted by the App Store's Usage Rules.
3. DeskFit Limited, not Apple, is solely responsible for providing any maintenance and support for the App.
4. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
5. DeskFit Limited, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, legal or regulatory compliance claims, and consumer protection claims.
6. In the event of a third-party claim that the App infringes intellectual property rights, DeskFit Limited, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
7. You represent that you are not located in a country subject to a US government embargo or on any US government list of prohibited or restricted parties, and you must comply with applicable third-party terms (such as your wireless data agreement) when using the App.
8. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right to enforce these Terms against you.

17. Google Play additional terms

If you downloaded the App from Google Play, your use is also subject to Google Play's Terms of Service. Google is not a party to these Terms and has no obligation to provide maintenance, support, or warranty services for the App; those responsibilities rest with DeskFit Limited as described in these Terms.

18. General

• Entire agreement: these Terms, together with our Privacy Policy, are the entire agreement between you and DeskFit regarding the App.
• Severability: if any provision is found unenforceable, the remaining provisions continue in effect.
• No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
